CCPA / CPRA Compliance Notice: xAQUA, Inc. is committed to compliance with the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA). This policy satisfies requirements under SIMM 5310-C for California state agency contractors handling personal information.

1. Who We Are

By accessing or using the xAQUA website (xaqua.io, aegis.xaqua.io, and related subdomains) or any xAQUA product documentation, you agree to be bound by these Terms of Use (“Terms”). These Terms are entered into between you and xAQUA, Inc. (“xAQUA,” “we,” “us,” “our”), a California corporation. If you are accessing these resources on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, please do not access or use our website or documentation.

2. Platform Terms (SaaS Subscription)

Access to and use of xAQUA Aegis and xAQUA UDP as software-as-a-service products is governed by a separate Master Subscription Agreement (MSA) executed between xAQUA and the customer organization. Key terms of the MSA include:

  • License Scope: Non-exclusive, non-transferable right to access the platform for internal business purposes during the subscription term
  • Data Ownership: Customer retains all right, title, and interest in customer data. xAQUA claims no ownership of security telemetry, compliance data, or risk intelligence generated within a customer’s deployment
  • Deployment Model: xAQUA Aegis deploys within the customer’s Azure tenant. Customer is responsible for Azure infrastructure costs and access management
  • Acceptable Use: The platform may only be used for lawful purposes consistent with applicable federal, state, and local laws, including California Government Code provisions applicable to state agencies
  • Prohibited Use: Reverse engineering, resale, sublicensing, or use for competitive intelligence without written consent is prohibited

3. Service Level Agreement (SLA)

xAQUA’s standard SLA commitments for production platform deployments are as follows. Specific SLAs are defined in executed MSAs and may vary by customer tier.

  • Platform Availability: 99.5% uptime during contracted business hours (8:00 AM – 7:00 PM PST, Monday–Friday, excluding federal holidays)
  • Support Response Times: P1 (Critical/System Down) — 2 hours; P2 (Major Impact) — 8 business hours; P3 (Minor Impact) — 2 business days
  • Scheduled Maintenance: Communicated with minimum 48 hours advance notice; scheduled outside business hours where possible
  • Data Processing: VDS connector ingestion within 15 minutes of scheduled run; RIE job completion within 60 seconds of data availability for real-time jobs

4. Intellectual Property

All content on xAQUA websites and documentation — including text, graphics, logos, software, and platform architecture — is the proprietary property of xAQUA, Inc. or its licensors and is protected by United States and international intellectual property laws.

  • xAQUA, xAQUA Aegis, xAQUA UDP, Narratix, SemantIQ, ConverseDataIQ, RAGConvo, Reeve, Qualix, Athyna, and the xAQUA logo are trademarks of xAQUA, Inc.
  • You may not use xAQUA trademarks without prior written permission
  • Third-party product names and trademarks referenced in our documentation remain the property of their respective owners
  • Customer data and customer-specific configurations created within a deployment remain the intellectual property of the customer

5. Acceptable Use Policy

You agree not to use xAQUA websites or services to:

  • Violate any applicable law or regulation, including export control laws
  • Transmit malicious code, viruses, or disruptive data
  • Attempt to gain unauthorized access to any system, network, or account
  • Scrape, mine, or systematically extract data from xAQUA websites without written permission
  • Impersonate any person or entity or misrepresent your affiliation with any organization
  • Use automated tools to probe or stress-test xAQUA systems without prior written authorization

6. Disclaimer of Warranties

xAQUA WEBSITES AND PUBLIC DOCUMENTATION ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. XAQUA MAKES NO WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. PLATFORM WARRANTIES ARE GOVERNED EXCLUSIVELY BY EXECUTED MASTER SUBSCRIPTION AGREEMENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XAQUA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE XAQUA WEBSITES OR DOCUMENTATION. IN NO EVENT SHALL XAQUA’S TOTAL LIABILITY TO YOU FOR WEBSITE ACCESS EXCEED ONE HUNDRED DOLLARS ($100). PLATFORM LIABILITY CAPS ARE DEFINED IN EXECUTED MSAS.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. For government customers, applicable California Government Code provisions and procurement regulations govern where they conflict with these Terms. Disputes arising from these Terms shall be resolved in the state or federal courts located in Sacramento County, California. You consent to personal jurisdiction in those courts.

9. Privacy

Your use of xAQUA websites is also governed by our Privacy Policy, which is incorporated into these Terms by reference. California residents have additional rights under CCPA/CPRA as described in the Privacy Policy.

10. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page. Your continued use of our website following the posting of changes constitutes acceptance of those changes.
